Integra LifeSciences Announces the Acquisition of Satelec Medical

French Manufacturer of Dissectron(R) Ultrasonic Surgical Aspirator

PLAINSBORO, N.J. and BORDEAUX, France - May 3, 2001 -- Integra LifeSciences Holdings Corporation (NASDAQ: IART) announced today that it has acquired Satelec Medical, a subsidiary of the Satelec-Pierre Rolland group, for $3.6 million in cash. Satelec Medical, based in France, manufactures and markets the Dissectron(R) ultrasonic surgical aspirator console and a broad line of related handpieces. The Dissectron(R) is the leading ultrasonic surgical system in France. The Dissectron(R) product has United States FDA 510(k) clearance for neurosurgical applications and CE Mark Certification in the European Union. Revenues of the acquired business were approximately $1.5 million in 2000. The transaction is not expected to be dilutive to earnings.

We expect to augment Satelec Medical's focused neurosurgical sales team with several additional neurospecialists in the coming months."

The Dissectron(R) system applies ultrasonic energy to precisely fragment and emulsify soft tissue, which is subsequently aspirated, while preserving major blood vessels, nerves and elastic fibers. The system has been used internationally in a variety of surgical applications, including neurosurgery.

Satelec-Pierre Rolland will continue to manufacture the Dissectron(R) until production is transferred to Integra's Andover, England Selector(R) Integra Ultrasonic Aspirator manufacturing facility. Satelec-Pierre Rolland will also provide certain administrative and logistics services to Integra in France for a period of time following the acquisition.

Through its Selector(R) Integra Ultrasonic Aspirator product line, Integra NeuroSciences has gained extensive experience in the development, manufacturing and marketing of ultrasonic surgical systems for use in neurosurgery. Integra expects to continue to offer Selector(R) and Dissectron(R) to its international customers.
